How the firm obtains the licence

  1. Scoping and proposal. The classes needed, Class A for forex and Class D for digital assets, the resident manager or licensed manager route and the paid-up capital against the three-year projections are confirmed in writing, with an unsigned draft used to settle questions.
  2. Application pack. The prescribed form for each class with three-year projections, the business plan, risk strategy, AML and CFT and ICT manuals and the certified capital statement with full answers to every question.
  3. Banking and liquidity. Client money accounts, operating and settlement accounts and the liquidity provider or prime broker onboarding are arranged through the firm’s relationships before the decision, so the firm trades on authorisation.
  4. Regulator engagement. The fit and proper assessment, the residency evidence and the VT 5,000,000 deposit call are handled through one process, until the Commission decides; it aims to decide within three weeks once all information is in.

Key takeaways
  • A financial dealers licence under the Financial Dealers Licensing Act [CAP 70] is required to deal in securities in or from Vanuatu; dealing without one carries a fine of up to VT 25 million and 15 years’ imprisonment for an individual and VT 125 million for a company.
  • The licence is issued in four classes: Class A (bonds, debentures, foreign exchange), Class B (shares, precious metals, commodities), Class C (futures, derivatives, options) and Class D (digital assets, available only to a holder of a Class A, B or C licence).
  • A security deposit of VT 5,000,000 is lodged with the Commissioner for each principal licence and stays in place for the life of the licence.
  • Each class is a separate application: VT 50,000 on application and VT 100,000 on grant, with an annual fee of VT 500,000 due by the anniversary of incorporation.
  • The licensee keeps an office in Vanuatu with a manager or director resident for six months of each year, or engages a licensed manager; managers and directors need five years’ experience in dealing.
  • There is no statutory decision period; the VFSC aims to decide within three weeks of receiving all required information, and business must start within three months of the licence.

Who needs the licence

A business dealing in securities in or from Vanuatu needs a financial dealers licence: forex and CFD brokers, securities and commodities dealers, derivatives platforms and, under Class D, digital asset dealers. The licence is issued to the dealing company as a principal licence; the individuals who deal for it hold representative licences, and a resident licensed manager may be engaged in place of a local office. The 2021 amendments to the Act and the licensing guidelines in force since 16 October 2021 set the residency, experience and deposit requirements described here.

Licence classes

ClassDealing coveredConditions
Class ADebenture stock, loan stock, bonds, certificates of deposit, proceeds of foreign exchangePrincipal licence; separate application and fees
Class BShares, proceeds of precious metals or commodities, rights to subscribe for shares or debt securities, depositary receiptsPrincipal licence; separate application and fees
Class CFutures contracts and derivative products, options over securities, certain forward-delivery contractsPrincipal licence; separate application and fees
Class DDealing in digital assetsIssued only to a holder of a Class A, B or C principal licence

Each class is a separate application with its own application and licence fee; the Act gives no discount for holding several classes. Representative licences for individuals and the licensed manager licence carry the same fee scale as the principal licence.

What the VFSC requires

  • Local presence. Either a licensed manager engaged in Vanuatu, or an office in Vanuatu with a manager or director who normally lives in Vanuatu for six months of each year; the office keeps a filing system, a management and accounting system and a business continuity system, and records are kept in Vanuatu.
  • Directors and managers. Natural persons with at least five years’ experience in dealing in securities; at least one director, and at least one board member with substantial recent financial dealing experience.
  • Fit and proper. Directors, the compliance officer and the money laundering reporting officer and alternate complete a personal questionnaire with a police clearance under three months old, a notarised passport and two references; changes of key persons need the Commission’s approval.
  • Residency evidence. A written undertaking co-signed by each executive, supported by telephone bills, Vanuatu bank statements over six months and a six-month lease or proof of property.
  • Security deposit. VT 5,000,000 lodged with the Commissioner once the Commission is satisfied on fitness and propriety; the deposit remains in place and interest on it belongs to the State.
  • Application pack. The prescribed form for each class with three-year projections, a business plan covering products and platform, a risk management strategy, broker and agency agreements, a complaints manual, an AML and CFT manual, an ICT policy and a certified bank statement showing paid-up capital and its source; an unsigned draft may be submitted first to settle questions.
  • Commencement. The start date is notified to the Commission and business begins within three months of the licence; a licence may be withdrawn where business has not begun in that time.

Capital

RequirementAmount
Security depositVT 5,000,000 per principal licence
Minimum share capitalNo fixed figure in the Act; paid-up capital in a hard currency, evidenced by a certified bank statement, plus six months’ capital expenditure
Financial positionTotal assets exceeding total liabilities, with capital sufficient to cover expected losses and capital expenditure over the first three years

The deposit is called for only after the Commission has assessed the key persons as fit and proper, and may count toward capital. The Act sets no fixed share capital figure; the Commission assesses the paid-up capital against the three-year projections in the application.

Geographic scope

The licence covers dealing in securities in or from Vanuatu. The Act places no restriction on serving clients outside Vanuatu, and the licence is used by brokers serving international clients from a Vanuatu company. It is a Vanuatu licence only: a firm that markets to clients in the United Kingdom or the European Union needs the FCA authorisation or an EU investment firm authorisation for those markets, and the firm obtains each.

Why applications are delayed

The Act and the Commission’s guidelines set out what the Commissioner looks for before granting a licence.

  1. Complete information and clear answers. The Commission states that short answers to its questions lengthen the process; every question is answered with the evidence behind it.
  2. Satisfactory source of funds and clean antecedents. The source of the paid-up capital, the absence of AML or CFT enforcement history, and no convictions for fraud or dishonesty among key persons.
  3. Qualified, resident people. Managers and directors who are natural persons with five years’ dealing experience, and a resident executive or licensed manager whose residency undertaking is kept; a breach of the undertaking is treated as a question of fitness and propriety.
  4. Fees and deposit in place. The application and licence fees paid for each class and the VT 5,000,000 deposit lodged when called for.

Banking and liquidity

A dealing firm needs client money accounts separated from its own funds, operating accounts in its base currency and settlement accounts in the currencies it quotes, together with onboarding at one or more liquidity providers or prime brokers before the first trade. Each institution reviews the licence, the financial crime framework and the flow of funds before opening an account. The firm arranges the accounts and the liquidity provider onboarding alongside the application, so the firm trades on authorisation. See banking and payment processing.

Questions firms ask

How long does a Vanuatu dealer licence take?

There is no statutory period. The Commission aims to decide within three weeks of receiving all required information; the firm plans for three to four months after submission, covering the fit and proper assessment, the residency evidence and the deposit call.

What does the licence cost?

VT 50,000 on application and VT 100,000 on grant for each class, VT 500,000 a year thereafter, and a VT 5,000,000 security deposit lodged with the Commissioner.

Do we need a director living in Vanuatu?

Either a manager or director who lives in Vanuatu for six months of each year, with an office there, or a licensed manager engaged in Vanuatu.

Can one licence cover forex and crypto?

Forex falls under Class A and digital assets under Class D, which is issued only to a holder of a Class A, B or C licence. Each class is a separate application with its own fees.

Can we serve clients outside Vanuatu?

The Act covers dealing in or from Vanuatu and places no restriction on foreign clients. Serving clients in regulated markets such as the UK or the EU requires authorisation in those markets.
